William Rainer , , , Chair

Mr. Rainer was elected to serve on our Board of Directors in July 2015 and appointed the Chair of the Board and the Chair of our Executive Committee in July 2016. He has had numerous leadership roles in the finance and banking industry. From 2001 to 2004, Mr. Rainer served as the Chair and Chief Executive Officer of OneChicago, LLC, a regulated futures exchange. He has also served as the Chair of the Commodity Futures Trading Commission from 1999 to 2001, as the Chair of the United States Enrichment Corporation from 1994 to 1998, and as Founder of Greenwich Capital Markets, Inc. from 1981 to 1988. Previously, Mr. Rainer held various leadership positions at Kidder, Peabody & Co., Inc. Mr. Rainer served as director of IQ Funds, a family of closed-end mutual funds, from 2004 until 2010. From 1996 to 2000 and from 2004 to 2008, Mr. Rainer served as a Trustee for Southern Methodist University. He has served as a member of the Dean’s Council of the Harvard Divinity School since 2003 and as its Chair from 2005 through June 2013. He is currently the Chair of Shortridge Academy, Ltd. and New Braunfels Communication, Inc. He received his bachelor’s degree and his Master of Business Administration degree from Southern Methodist University.

Stephen A. Ferriss , , , Vice Chair

Mr. Ferriss was elected to serve on our Board of Directors in November 2013. He is also Vice Chair of our Board, Chair of our Compensation Committee and a member of our Audit Committee and Executive Committee. Mr. Ferriss has served as a director of Santander Holdings USA, Inc. (“SHUSA”), the Company’s majority stockholder, and Santander Bank, N.A. (“SBNA”), a wholly owned subsidiary of SHUSA since 2012 and serves as the Chair of the SHUSA and SBNA Audit Committees and as a member of the SHUSA and SBNA Board Enterprise Risk Management Committees. He is also a member of SHUSA’s Board Capital and Regulatory Oversight Committees and of SBNA’s Bank Secrecy Act/Anti-Money Laundering Oversight Committee. He is the Senior Independent Director and the Chair of the Nominations Committee for Management Consulting Group PLC, London, a publicly traded company on the London Stock Exchange. He also has served as a director of Iberchem in Madrid, Spain, since 2007, and previously served as a director of Santander Bancorp and Banco Santander Puerto Rico from 2002 to 2010 and as a member of the Audit Committee of those companies from 2004 to 2010. He previously served as President and Chief Executive Officer of Santander Investment Securities Inc. from 1999 to 2002 and held various roles at Bankers Trust (now Deutsche Bank Alex. Brown), including Managing Director and Partner of the Bankers Trust Global Investment Bank in London and New York. Mr. Ferriss received his bachelor’s degree from Columbia College and his Master of International Affairs Degree from Columbia University School of International Affairs.

Mahesh Aditya , , , Director

Mahesh Aditya joined Santander in March 2017 as Chief Operating Officer for Santander Holdings USA (SHUSA) based in Boston. He currently serves on the Board of Santander Consumer (SCUSA) and Banco Santander Puerto Rico. Prior to joining Santander he was the Chief Risk Officer and a Member of the Operating Committee for Visa Inc.

Mahesh started his career with Citibank in 1990 in Risk Management and Operations in India. He then helped start Citibank’s Credit Card and Retail Banking business in Egypt. He was subsequently based in Madrid as Chief Risk Officer of Citibank Iberia and later in New York as CRO for Citibank North America. Mahesh left Citibank after 17 years and joined JPMorgan Chase as Chief Risk Officer of Retail Banking and later served as CRO Mortgage Banking. Between 2009 and 2011 he worked at Capital One as Head of Risk for Mortgage and Business Banking.

Mahesh has a degree in Electrical Engineering from Bangalore University and an MBA from the Faculty of Management Studies, Delhi University. He has served as a member of the board of Early Warning Systems (EWS) and an advisor to Fundbox, a start-up based in San Francisco.

José Doncel , , , Director

Mr. Doncel was appointed to our Board of Directors in December 2015. Mr. Doncel has served in numerous leadership roles in the banking industry, including service on boards of directors and in senior management. He is a chairman of Banco de Albacete, S.A. and a member of the board of directors of Santander Holding Internacional, S.A., Santusa Holding, S.L., Grupo Empresarial Santander, S.L., Administración de Bancos Latinoamericanos Santander, S.L., Banco Santander (México), S.A. de C.V., Grupo Financiero Santander, S.A. de C.V., Ingeniería de Software Bancario, S.L., Geoban, S.A., Produban Servicios Informáticos Generales, S.L., Santander Consumo, S.A. de C.V., Santander Hipotecario, S.A. de C.V., Santander Vivienda, S.A. de C.V. and Casa de Bolsa Santander, S.A. de C.V. Mr. Doncel has served as a senior executive of Banco Santander, S.A. (“Santander”) and certain predecessor companies since 1993, most recently as Senior Executive Vice President and Director of the Accounting and Control division since October 2014, as Senior Executive Vice President and Director of the Corporate Division of Internal Audit from June 2013 to October 2014, and as Senior Executive Vice President and Director General of the Retail Banking Management Control Area from April 2013 to June 2013. He was also previously employed by Arthur Andersen Auditores, S.A., Division of Financial Institutions. Mr. Doncel holds a degree in Economic and Business Sciences from the Universidad Complutense de Madrid.

Victor Hill , , , Director

Mr. Hill was elected to serve on our Board of Directors in July 2015 and also serves as a member of our Risk Committee and Regulatory and Compliance Oversight Committee. He has served as Managing Director of Santander Consumer (UK) plc, which he founded, since July 2005 and as Managing Director of First National Motor plc, a subsidiary of Santander Consumer (UK), since February 2004. Mr. Hill joined Lombard North Central plc in 1982, remaining with the business through its change of ownership and rebranding to First National Motor plc in 1998. Mr. Hill has since held a number of executive positions at First National Motor plc, including Head of the Department – Customer Services (Motor Finance) of First National Bank plc from February 1994 to December 1999, Operations Director (Motor Finance) of First National Bank plc from January 2000 to April 2002, Group Customer Services Director of First National Bank plc from May 2002 to April 2003 and Director of First National Motor plc from April 2003 to February 2004. Mr. Hill also serves as a director of Hyundai Capital UK Ltd., Santander Consumer UK, PSA Finance plc, PSA Finance UK, Ltd. and First National Motor plc. He has previously served as a director of several companies in the Abbey National Group from November 2003 to September 2009 and of GE Capital Bank Limited from January 2009 to May 2009.

Edith E. Holiday , , , Director

Ms. Holiday was appointed to our Board of Directors in November 2016 and serves on our Compensation and Regulatory and Compliance Oversight Committees. Ms. Holiday is a member of the Board of Directors of Hess Corporation, White Mountains Insurance Group Ltd., and Canadian National Railway and is a member of the Boards of Directors or Trustees of various investment companies in the Franklin Templeton Group of Funds, serving as Lead Director of the Templeton Funds. She also served on the Boards of Directors of RTI International Metals, Inc. from 1999 to 2015, and the HJ Heinz Company from 1994 to 2013. Ms. Holiday was also the President, Secretary and Treasurer of Comcast TW Holdings, Inc. from 2006 to 2007. From 1990 to 1993, Ms. Holiday was Assistant to the President of the United States and Secretary of the U.S. Cabinet. From 1989 to 1990, she served as General Counsel of the U.S. Treasury Department, and from 1988 to 1989, she served as Counselor to the Secretary and Assistant Secretary for Public Affairs and Public Liaison of the U.S. Treasury Department. Prior to that, Ms. Holiday held various other positions in government and in private practice. Ms. Holiday holds a B.S. and a J.D. from the University of Florida and is a member of the State Bars of Florida, Georgia and the District of Columbia.

Javier Maldonado , , , Director

Mr. Maldonado was elected to serve on our Board of Directors in July 2015 and also serves as a member of our Executive Committee, Compensation Committee and Regulatory and Compliance Oversight Committee. He has served as Senior Executive Vice President of Santander, Head of the New General Directorate for Coordination and Control of Regulatory Projects in the Risks Division, since September 2014. Previously, he served as Executive Committee Director, Head of Internal Control and Corporate Development, for Santander (UK) plc (“Santander UK”) from May 2012 to September 2014; Vice President in Charge of Closed Funds and Complaints for Banco Santander Brazil from October 2011 to April 2012; General Manager for Santander in the Middle East from January 2011 to September 2011; General Manager of Consumer Finance for Santander in China in 2012; and Chief Executive Officer of the Wealth Management and Corporate Banking Division of Abbey National Bank from 2007 until 2010. Mr. Maldonado has served as a director of Saudi Hollandi Bank Riyadh since 2008, and previously served as a director of ABN AMRO Bank from 2007 to 2010 and of Banco Antonveneta Italy from 2007 to 2008. He holds law degrees from Northwestern University and Madrid University and practiced corporate and international law for 13 years.

Robert J. McCarthy , , , Director

Mr. McCarthy was elected to serve on our Board of Directors in July 2015 and also serves as Chair of our Regulatory and Compliance Oversight Committee and as a member of our Audit Committee and Compensation Committee. He has served as Chair of Hotel Development Partners since March 2014. Mr. McCarthy joined Marriott International, Inc. in 1975, where he served in various leadership positions including Senior Vice President, Northeast Region from 1995 to 2000; Executive Vice President, Operations from 2000 to 2002; President, North America from 2003 to 2009; and Group President from 2009 to 2011, and served as Chief Operations Officer from March 2012 until February 2014. Mr. McCarthy currently is a member of the Board of Trustees at Villanova University and a director of Priton, LLC. Previously, Mr. McCarthy served as a director of the ServiceSource Foundation, as a member of the Autism Learning Center, as a member of the Dean’s Advisory Board at Cornell University School of Hotel Administration, the Dean’s Advisory Board at Villanova University School of Business and the board of managers at Avendra, LLC. Mr. McCarthy received his Bachelor’s Degree in Business Administration from Villanova University and is a graduate of the Advanced Management Program at the Wharton School of Business at the University of Pennsylvania.

William F. Muir , , , Director

Mr. Muir was appointed to our Board of Directors in November 2016 and serves as Chair of our Audit Committee and as a member of our Risk Committee. In 2014, Mr. Muir retired from Ally Financial Inc. (formerly known as General Motors Acceptance Corporation (GMAC)), where he served as President and head of its Global Automotive Services business since 2004. Prior to that time, he served as Executive Vice President and Chief Financial Officer from 1998 to 2004. From 1996 to 1998, Mr. Muir served as executive-in-charge of operations and then executive director of planning at Delphi Automotive Systems, a former subsidiary of General Motors (GM). Prior to serving at Delphi Automotive Systems, he served in various executive capacities with Ally since first joining Ally in 1992 and also served in a number of capacities with GM since joining the company in 1983. Mr. Muir also served as Chairman of Ally Insurance Group from 1999 to 2014, a member of the Ally Commercial Finance from 2002 to 2014, and a member of Ally Bank Boards of Directors from 2004 to 2014. Mr. Muir received a bachelor’s degree in industrial engineering and operations research from Cornell University in 1977. He earned a master’s of business administration degree from Harvard University in 1983.

Scott Powell , , , Director

Scott Powell is the Chief Executive Officer of Santander US and Santander Consumer USA (SC). He is responsible for managing Santander’s business units in the United States, and he leads SC, which is Santander’s largest US subsidiary.

Scott became CEO of Santander US in March of 2015 and has more than three decades of experience working in retail banking, risk management and consumer and auto lending. He was appointed CEO of Santander Consumer in August of 2017. Prior to joining Santander, he held a variety of senior positions at JPMorgan Chase & Co., including Head of Banking and Consumer Lending Operations, CEO of Consumer Banking and Retail Investments, Head of Consumer Lending, Head of Chase Auto Finance, and Chief Risk Officer, Consumer. He also spent 14 years at Citigroup in a variety of senior risk management roles.

Scott holds a Bachelor of Arts from the University of Minnesota and a Master of Business Administration from the University of Maryland. He currently serves on the Board of Directors of The Financial Services Roundtable and is a member of the supervisory board of The Clearing House. He also serves on the boards of the Phipps Houses and The End Fund.
